Affiliate Agreement

Effective Date: June 22, 2026

1. Overview

This Affiliate Agreement (the "Agreement") is a binding contract between you ("Affiliate", "you" or "your") and Trick-Tack ("TrickTack", "We", "Us" or "Our"), the operator of this Site and the TrickTack affiliate program (the "Program"). The Program allows you to earn commissions by referring new paying subscribers to TrickTack.

By signing up for the Program, accessing your affiliate dashboard, or using any referral link or referral code issued to you, you confirm that you have read, understood and agree to be bound by this Agreement, together with Our Terms of Service and Privacy Policy. If you do not agree to these terms, you must not participate in the Program.

2. Eligibility

To participate in the Program, you must:

We may require additional verification of your identity or eligibility at any time and may suspend or withhold commissions until such verification is satisfactorily completed.

3. Enrollment

Enrollment in the Program is generally automatic upon registration, and you may begin promoting TrickTack once your account is active. However, We reserve the right, in Our sole discretion and without prior notice, to reject any application, suspend any account, or terminate the participation of any Affiliate at any time and for any reason, including suspected violation of this Agreement.

Acceptance into the Program does not constitute an endorsement of you, your website, or your promotional methods, and does not create any partnership, joint venture, agency, franchise, or employment relationship between you and TrickTack.

4. Referral Link & Tracking

Upon enrollment, you will be issued a unique referral code and one or more referral links. Referrals are tracked when a visitor arrives at the Site through your referral link, which appends a ?ref=CODE parameter to the destination URL.

When a visitor clicks your referral link, a first-party cookie named tt_ref is stored in their browser for a period of ninety (90) days. If that visitor subscribes to a paid TrickTack plan within the cookie window, the subscription will be attributed to you, provided the cookie has not been overwritten by another Affiliate's referral, cleared by the visitor, or blocked by the visitor's browser or device.

You are solely responsible for the correct and lawful use of your referral link and code. You may not alter, obscure, or attempt to manipulate the tracking mechanism in any way. We do not guarantee that every referral will be tracked, and We are not liable for referrals that are not recorded due to technical limitations, cookie blocking, browser settings, or other factors outside Our reasonable control.

5. Commission

For each new paying subscriber validly referred by you, you will earn a recurring commission equal to fifty percent (50%) of each subscription payment that subscriber makes, for the lifetime of that subscription, subject to the terms of this Agreement.

Commission is calculated on the actual amount paid by the referred subscriber after any applicable discounts, coupons, promotional pricing, or taxes are deducted. Commission does not accrue on amounts that are refunded, charged back, waived, or otherwise not actually received by TrickTack. Free trial periods do not generate commission; commission begins to accrue only once the referred subscriber makes their first successful paid payment.

Commissions accrue on a monthly basis as the referred subscriber's recurring payments are successfully processed and confirmed. A commission is only considered earned once the corresponding subscription payment has cleared and is no longer subject to refund or reversal.

6. Payment Terms

Earned commissions are paid out monthly via Wise bank transfer. To receive payment, the total balance of your earned and confirmed commissions must meet or exceed the minimum payout threshold of twenty-five US dollars (USD $25). If your balance is below the threshold at the end of a payment cycle, it will roll over and accumulate until the threshold is reached.

All payments are made in US dollars (USD). You are responsible for providing and maintaining valid and accurate bank details, including your IBAN and SWIFT/BIC information, as required to process the transfer. We are not responsible for payments that fail, are delayed, or are misdirected due to incorrect, incomplete, or outdated payment information that you have provided.

You are solely responsible for any and all taxes, levies, duties, or similar charges that may apply to commissions you earn, including reporting and remitting such taxes to the relevant authorities in your jurisdiction. Commission amounts are paid gross, and We will not withhold or remit taxes on your behalf unless required to do so by law.

7. Prohibited Activities

You agree that you will not, directly or indirectly, engage in any of the following while participating in the Program:

Engaging in any prohibited activity may result in the reversal of affected commissions, suspension or termination of your account, forfeiture of unpaid commissions, and any other remedies available to Us under this Agreement or applicable law.

8. Intellectual Property

Subject to your compliance with this Agreement, We grant you a limited, non-exclusive, non-transferable, revocable license to use the TrickTack name and logo solely for the purpose of promoting TrickTack and referring subscribers under the Program.

You must not alter, distort, recolor, or otherwise modify the TrickTack logo, and you must use it only in the form and manner We make available or approve. You must not register or use the TrickTack name, logo, or any confusingly similar marks as your own trademarks, domain names, social media handles, or business names. Nothing in this Agreement grants you any ownership in Our intellectual property, and all goodwill arising from your use of Our marks inures solely to Us.

You must not imply or represent that you have any partnership, sponsorship, endorsement, or official relationship with TrickTack beyond your status as an independent Affiliate. This license terminates automatically upon termination of your participation in the Program or breach of this Agreement.

9. Commission Clawback

Commissions are provisional until the underlying subscription payment is final and non-reversible. We reserve the right to reverse, deduct, or claw back any commission that has been credited to you if the corresponding payment is later refunded, charged back, disputed, reversed, or determined to be fraudulent, or if the referral is otherwise found to be invalid or in violation of this Agreement.

Clawbacks may be applied as deductions against your current or future commission balance. If your balance is insufficient to cover a clawback, you agree that the outstanding amount may be carried forward and offset against future earnings.

10. Termination

Either party may terminate this Agreement and your participation in the Program at any time, with or without cause, by providing notice to the other party. You may terminate by ceasing to use your referral links and notifying Us at the contact address below.

Upon termination without cause, any commissions that have been validly earned and confirmed, and that exceed the minimum payout threshold of USD $25, will be paid out in the next regular payment cycle. Balances below the threshold at the time of termination may be forfeited.

In the event of fraudulent activity or a material breach of this Agreement, We may terminate your participation immediately and without notice, and you will forfeit any and all unpaid commissions, whether or not they would otherwise have been payable.

11. Program Changes

We reserve the right to modify any aspect of the Program, including the commission rate, cookie duration, payout threshold, payment methods, and the terms of this Agreement, at any time. Where We make a material change to the commission rate, cookie duration, or other core terms, We will provide you with at least thirty (30) days' notice by email to the address associated with your account.

Your continued participation in the Program after a change takes effect constitutes your acceptance of the modified terms. If you do not agree to a change, your sole remedy is to terminate your participation in the Program before the change takes effect.

12. Limitation of Liability

The Program is provided on an "as is" and "as available" basis. We make no representation, warranty, or guarantee that you will earn any particular amount, or any amount at all, from your participation. Your earnings depend on factors outside Our control, including your own promotional efforts.

To the fullest extent permitted by applicable law, We are not liable for any lost, untracked, or unpaid commissions resulting from technical issues, tracking failures, cookie blocking or clearing, browser or device behavior, third-party interference, or any other cause beyond Our reasonable control. In no event shall Our total aggregate liability to you under or in connection with this Agreement exceed the total amount of confirmed commissions actually owed but unpaid to you at the time the liability arose.

13. Governing Law

This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with applicable law. In the event of any dispute, the parties agree to first attempt to resolve the matter informally and in good faith through email negotiation before pursuing any other remedy.
